Your access or use of the Website indicates that you have read, understand and agree to be bound by these Terms and Conditions and any other applicable laws, statutes and/or regulations. Your continued use of the Website will be considered your acceptance to the revised Terms and Conditions.

1. AGE RESTRICTION

You must be at least nineteen (19) years of age to use this Website or any services contained herein. Your access or use of this Website indicates your representation that you are at least nineteen (19) years of age. We assume no responsibility or liability for any misrepresentation of your age.

4. PAYMENT

When you purchase on this Website, you agree to provide a valid instrument to make a payment. Pay attention to the details of the transaction, as your total price may include taxes, fees, and shipping costs, all of which you are responsible for.

When you provide a payment instrument to us, you confirm that you are permitted to use that payment instrument. When you make a payment you authorize us (and our designated payment processor) to charge the full amount of the payment instrument you designate for the transaction. You also authorize us to collect and store that funding instrument, along with other related transaction information.

If you pay by debit or credit card, we may obtain a pre approval from the issuer of the card for an amount as high as the full price. If you cancel a transaction before completion, this pre-approval may result in those funds not otherwise being immediately available to you.

In order to prevent financial loss to you or to us, we may collect your funding instrument issuer, law enforcement, or affected third parties (including other users) and share details of any transaction you are associated with, if we believe doing so may prevent financial loss or a violation of law.

The Service is the proprietary property of “HIBUZZ INC.” its suppliers or its licensors, as the case may be. Unless expressly stated otherwise, the Service is protected by copyright and other intellectual property laws.

9. INDEMNIFICATION

You defend and indemnify HIBUZZ Cannabis and any of its affiliates and hold us harmless against any and all legal claims and demands, including reasonable attorney’s fees, which may arise from or relate to your misuse of the Website, your breach of these Terms and Conditions, or your conduct or actions. We will select our own legal counsel and may participate in our own defence, if we wish to do so.

10. SERVICE INTERRUPTIONS

We may need to interrupt your access to the Website to perform maintenance or emergency services on a scheduled or unscheduled basis. You agree that your access to the Website may be affected by unscheduled or unanticipated downtime, for any reason, but that we will have no liability for any damage or loss caused as a result of such downtime.

Your use of the Website is at your sole and exclusive risk and any services provided by us are on a “as is” basis. We disclaim any and all express or implied warranties of any kind, including, but not limited to the implied warranty of fitness for a particular purpose and the implied warranty of merchantability. Any damage that may occur to you, through your computer system, or as a result of loss of your data from your use of the Website is your sole responsibility and we are not liable for any such damage or loss.

12. PURPOSE

The Service provides information about HIBUZZ services, past and current projects and experience, and may provide online retail services, including the online purchase of products for pick up in-store and for home delivery.

13 TRADEMARKS

The Marks are registered or unregistered trademarks, designs, domain names, trade names and logos owned or licensed by HIBUZZ INC. All other trademarks, designs, domain names, trade names and logos not owned by HIBUZZ INC. that appear on the Service are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by HIBUZZ INC.

Any use of the Marks, except as expressly provided in these Terms of Use, is strictly prohibited. Nothing appearing on the Service or elsewhere shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use in any manner any of the Marks.

Governing Law And Forum

These Terms of Use is governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regards to its principles of conflicts of law. Subject to the obligation to arbitrate below, you agree to personal jurisdiction of the courts located in Ontario, Canada, and waive any jurisdictional, venue, or inconvenient forum objections to such courts.

You agree to waive any right that you may have to: (i) a trial by jury; and (ii) commence or participate in any class action against HIBUZZ INC. related to the Service, the User Content, these Terms of Use, any sites or resources linked to the Service and/or the products and services included on or otherwise made available to you through the Service. You also agree to opt out of any class proceedings against The HIBUZZ INC.

Termination

Notwithstanding any other provision of these Terms of Use and without prejudice to any other rights we may have, HIBUZZ INC. may, in its discretion and for its convenience, at any time, change, discontinue, delete, deactivate, modify, restrict, suspend or terminate, immediately, temporarily or permanently, these Terms of Use, your password, your account, the User Content and/or the Service, or any part thereof, without any notice or liability to you or any other person, for any reason.

If we terminate your account, your right to use the Service will immediately cease. You may terminate your account at any time and for any reason, and we will make available through the Service reasonable means for you to do so. If you do not comply with these Terms of Use at any time, HIBUZZ INC. reserves the right to immediately suspend or terminate your access to the Service, or any part thereof, and/or your account, if any.

If these Terms of Use or your permission to access or use all or any part of the Service is terminated for any reason, then these Terms of Use and all other existing transaction agreements between you and HIBUZZ INC. will continue to apply and be binding upon you regarding your prior access to and use of the Service, and anything connected with, relating to or arising therefrom. You agree that HIBUZZ INC. shall not be liable to you or any third-party for any termination of your access and use to the Service or any part thereof.

Any such termination by HIBUZZ INC. shall be in addition to and without prejudice to such rights and remedies as may be available to HIBUZZ INC., including injunction and other equitable remedies.

All provisions of these Terms of Use will survive termination or expiry of these Terms of Use, including without limitation, the disclaimers, and limitations on liability, warranties, representations, ownership, termination, interpretation, intellectual property and indemnity provisions of these Terms of Use.

General

i) Entire Agreement

These Terms of Use, as they may be amended from time to time in accordance with the provisions of these Terms of Use, and all other existing transaction agreements between you and HIBUZZ INC. constitute and contains the entire agreement between you and HIBUZZ INC. with respect to your use of the Service and with respect to the subject matter hereof and supersedes any prior oral or written agreements. In the event of a conflict between these Terms of Use and any policies, rules or procedures posted on the Service, these Terms of Use will prevail.

ii) Relationship

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by these Terms of Use.

iii) Assignment and Enurement

HIBUZZ INC. may assign these Terms of Use to any third party. These Terms of Use cannot be assigned or transferred, in whole or in part, by you. These Terms of Use will enure to the benefit of and be binding upon each of you and HIBUZZ INC. and our respective heirs, executors, personal representatives, successors and permitted assigns.

iv) No Waiver

No waiver of any provision of these Terms of Use shall be binding on HIBUZZ INC. unless executed by HIBUZZ INC. in writing. No waiver of any of the provisions of these Terms of Use shall be deemed or shall constitute a waiver of any other provision (whether or not similar) nor shall such waiver constitute a continuing waiver unless otherwise expressly

provided. The failure of HIBUZZ INC. to exercise or enforce any right or provision of these Terms of Use shall not constitute a waiver of such right or provision.

Any provision of these Terms of Use which is held by a court of competent jurisdiction to be illegal, invalid or unenforceable in such jurisdiction shall, as to that jurisdiction, be ineffective to the extent of such illegality, invalidity or unenforceability and shall otherwise be enforced to the maximum extent permitted by law, all without affecting the remaining provisions of these Terms of Use or affecting the legality, validity or enforceability of such provision in any other jurisdiction.

v) Headings

All article or section headings are for reference and convenience only and shall not be considered in the interpretation of this Agreement.

vi) Unsolicited Commercial Electronic Messages

The inclusion of any email addresses on the Service does not constitute consent to receiving unsolicited commercial electronic messages or SPAM.
